Terms of Service

These terms are an agreement between you and ActVox LLC, 1309 Coffeen Avenue STE 1200, Sheridan, Wyoming 82801, United States ("ActVox", "we"). By creating an account or using the service you accept them. If you do not accept them, do not use the service.

If you use ActVox on behalf of a company or other organisation, you confirm that you are authorised to accept these terms for it, and "you" means that organisation.

Our Privacy Policy and Cookie Policy form part of this agreement.

You must be at least 18 years old and legally able to enter into a contract. You are responsible for keeping your sign-in credentials secure and for everything done through your account.

You may create an organisation and invite others. Workspaces inside an organisation belong to the organisation, not to the individual who created them: organisation admins control access, work created there stays with the organisation when a member leaves, and the organisation's billing pays for the actions its members take. If you leave or are removed, you lose access to those workspaces.

ActVox is an AI-assisted workspace for analysing and improving a business's online presence. It reads public web pages you point it at, produces reports, and helps you plan, draft and manage content. It can be connected to other services — Google Search Console, LinkedIn, Instagram, Telegram — and to AI assistants such as ChatGPT.

We develop the product continuously. Features may be added, changed or withdrawn. We will not remove a capability you are actively paying for without telling you.

You keep every right you have in the content you put into ActVox and in the content the service generates for you. We claim no ownership of it.

You give us the permission we need to run the service: to store your content, to display it back to you and to the people you share it with, and to send the relevant parts of it to the AI and research providers listed in the Privacy Policy so the service can produce a result. That permission exists only to operate the service for you and ends when you delete the content or your account. We do not license your content to anyone for advertising or for training their models.

You are responsible for having the right to submit what you submit, including any website you ask us to analyse and any material you upload.

The reports, drafts, images, videos and recommendations ActVox produces are generated automatically by AI models. They can be wrong, out of date, or confidently incorrect, and two runs can differ. Review anything before you rely on it, publish it, or make a decision based on it. ActVox does not provide legal, financial, tax or professional advice.

Generated output is not guaranteed to be unique — a model may produce something similar for someone else. You are responsible for checking that what you publish does not infringe anyone's rights.

You agree not to:

• use the service unlawfully, or to produce content that is illegal, deceptive, harassing, or infringes anyone's rights;
• use it to generate spam, or to impersonate a person or organisation;
• submit for analysis a site you have no right to have analysed, or use the service to circumvent another site's access controls;
• attempt to break, overload, probe or reverse-engineer the platform, or to bypass usage limits, credit accounting or access controls;
• resell or redistribute the service itself, or share API keys or connections with people who are not authorised to use your account;
• upload malware, or anyone else's personal data that you have no lawful basis to process.

When you connect another service or an AI assistant, you are authorising it to act in your workspace within the permissions you grant. A connection is bound to a single workspace you choose. Read access is granted first; permission to change things requires a separate, explicit approval from you.

Actions taken through an authorised connection are your actions. That includes actions that spend credits — refreshing a report, or indexing a knowledge source, both of which fetch the public web. It includes anything published to a connected social account. We are not responsible for what a connected assistant chooses to do inside the permissions you gave it, and credits spent that way are spent.

You can pause or revoke any connection at any time in Settings → Connections. Revoking blocks future requests; it does not undo actions already taken and does not recall content the other service already received.

ActVox is metered in credits. One credit is worth $1 of usage (internally 1000 units). Plans include an allowance of credits each month, and you can buy more separately.

Team is billed per seat: each seat adds its own price and its own allowance. Student access is granted on application rather than sold. Prices are in US dollars and exclude any tax we are required to add.

Prices for individual actions can change as the underlying model costs change; the current figures are always the ones shown in the app before you spend.

Your monthly allowance does not roll over. When a renewal payment succeeds, the allowance is set back to your plan's amount — it is replaced, not added to, so unused monthly credits from the previous period are gone. Credits you purchase separately do not expire, are not tied to a billing period, and remain if you cancel or downgrade. When you spend, monthly allowance is used first and purchased credits second.

If a job fails, the credits reserved for it are returned to your wallet automatically. Where a refund would exceed the allowance ceiling for the period, the excess is not carried over.

Payments are processed by Stripe. We never receive your card details. Subscriptions renew automatically each period until you cancel. Subscriptions started before September 2026 were billed through Clerk and still appear in that record.

You can cancel at any time from the billing screen in the app. Cancellation takes effect at the end of the period you have already paid for: you keep your plan and its allowance until then, and are not charged again. Downgrading reduces your monthly allowance to the new plan's amount immediately; credits you purchased separately are not affected.

Payments are non-refundable, and credits are non-refundable. We do not refund unused subscription time or unused credits, and credits have no cash value and cannot be transferred or exchanged for money. This does not affect any refund right you have under the law of your country that cannot be waived by agreement.

If a payment is reversed or charged back, we may deduct the corresponding credits from your wallet and suspend the account until the balance is settled.

You may stop using ActVox and delete your account at any time. What deletion removes, and what is retained, is described in the Privacy Policy.

We may suspend or terminate an account that breaches these terms, that we are required to act on by law, or that is being used in a way that threatens the security or availability of the service for others. Where the circumstances allow it we will warn you first and give you a chance to put it right. On termination your right to use the service ends; sections that by their nature should survive — ownership, disclaimers, limitation of liability, and governing law — survive.

The ActVox platform, its software, design and brand are ours. These terms give you a limited, non-exclusive, non-transferable right to use the service; they transfer nothing else.

If you send us feedback or a feature request, we may use it to improve the product without owing you anything for it. We will not identify you publicly as its source without your agreement.

The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, that AI output will be accurate, or that results you obtain will meet a business objective.

The service depends on third-party providers. Interruptions or changes at those providers can affect it, and are outside our control.

To the fullest extent the law allows, ActVox is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business or lost data, however caused.

Our total liability arising out of or relating to these terms or the service is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars.

Nothing here limits liability that cannot be limited by law, including liability for fraud, or for death or personal injury caused by negligence. Some jurisdictions do not allow some of these exclusions; where that is the case, they do not apply to you.

We may update these terms. When we do we change the effective date above, and if a change materially affects your rights or obligations we will tell you in the product or by email before it takes effect. Continuing to use the service after that means you accept the change; if you do not, cancel and stop using it.

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. You and ActVox agree to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming for any dispute, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.

If you are a consumer resident in a country whose law grants you the protection of your local courts or mandatory local consumer rules, nothing here removes that protection.

Before starting formal proceedings, please write to us — most issues are faster to resolve directly.
